Terms of Use

1. About these terms
These Terms of Use ("Terms") form a legally binding agreement between you and Sygnite Power and Energy Solutions Ltd ("Sygnite", "we", "us") governing your use of:
- The Sygnite website at sygniteng.com
- The Sygnite Business Platform and Customer Portal
- Our chat services on the website, WhatsApp, Instagram, and Facebook Messenger
- Energy monitoring and remote management features of installed Sygnite systems
The underlying agreement for hardware sale, installation, financing, and warranty is governed by the separate written contract you signed when you placed your order. If anything in these Terms conflicts with that contract, the contract prevails for that subject matter.
2. Eligibility and account security
You must be at least 18 years old and authorised to bind the entity you represent. You agree to keep your login credentials confidential and to notify us immediately at info@sygniteng.comif you suspect unauthorised access. You are responsible for activity carried out under your account.
3. Using the Customer Portal
You agree not to:
- Access or attempt to access another customer's account
- Reverse engineer, decompile, or copy the platform other than for your own legitimate use
- Probe, scan, or attempt to test the vulnerability of any system without our written permission
- Upload content that is illegal, infringing, malicious, or contains malware
- Use automation, scraping tools, or bots without our written permission
- Use the platform to send unsolicited communications to other parties
4. Messaging via WhatsApp, Instagram, and Facebook Messenger
By starting a conversation with us on WhatsApp, Instagram, or Facebook Messenger, you understand that:
- You are also subject to the platform's own terms of service (Meta Platforms, Inc.)
- We may use AI-assisted features to draft responses, and a human staff member may join the conversation at any time
- Conversation history is stored as described in our Privacy Policy
- You consent to receive replies and account-related notifications through the channel you contacted us on
- You may end the conversation at any time and request deletion of your messages by emailing info@sygniteng.com
- Standard message and data rates from your mobile carrier may apply
We use these channels for customer service and transactional notices only. We do not use them for unsolicited marketing.
5. Payments and refunds
Invoices are due according to the payment terms shown on each invoice. We accept payment by bank transfer to our Zenith Bank account, by card or USSD via Paystack, and by wallet credit. Failed or late payments may attract late fees as set out in your contract.
Refunds, wallet credits, and instalment adjustments are processed according to your contract. Disputed charges should be raised in writing within 30 days of the invoice date.
6. Maintenance and service requests
When you raise a maintenance request via the portal, chat, or any other channel, we will assign and respond within the timeframes set by the request's priority. Response and resolution times are targets, not guarantees, and apply during business hours unless your contract specifies otherwise. Emergency outages may receive different handling, call us for urgent issues.
7. Solar system monitoring data
When your installed system reports telemetry to our monitoring service, you grant us a non-exclusive right to use that data to bill PAYG plans, detect faults, generate aggregate analytics, and improve our products and services. You retain ownership of the underlying data and may request a copy at any time.
8. Intellectual property
The Sygnite Business Platform, our brand assets, software, designs, and documentation are owned by us or our licensors and protected by intellectual-property law. You receive a personal, non-transferable right to use the platform for the purposes of managing your account with us. Nothing in these Terms transfers ownership of any of our intellectual property to you.
Content you submit (chat messages, uploaded documents, photos) remains yours. You grant us a licence to host, store, display, and process it to provide our services to you.
9. Service availability
We aim to keep the platform available 24/7 but do not guarantee uninterrupted access. We may suspend access for maintenance, security, or to comply with law. We'll give reasonable advance notice for planned downtime where possible.
10. Limitation of liability
To the maximum extent permitted by Nigerian law, our total liability to you for any claim arising out of or related to these Terms or the platform is limited to the amount you have paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
Nothing in these Terms excludes or limits any liability that cannot be excluded by law, including for death or personal injury caused by negligence, fraud, or any other liability that Nigerian law does not allow us to limit.
11. Suspension and termination
We may suspend or terminate your access if you breach these Terms, fall materially behind on payments, or use the platform in a way that risks our or other customers' safety or compliance. We will give you reasonable notice and an opportunity to cure where the breach is curable. You may stop using the platform at any time; that does not end your obligations under your hardware purchase contract.
12. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute will be subject to the exclusive jurisdiction of the courts of Lagos State, except that we may seek injunctive relief in any competent court to protect our intellectual property.
13. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated through email or an in-portal notice and take effect 14 days after notice. Continued use of the platform after the effective date is your agreement to the updated Terms.
